ADBUX TERMS OF SERVICE UPDATED: 07/08/08 Please read the following terms very carefully before completing your registration. All terms and conditions established in this agreement are accepted at the time you register your account. AdBux reserves the right to update this agreement without prior notification to its members. When changes are made to the Terms of Service, a notification will be provided via email, the AdBux Blog, or on the AdBux homepage. Any use of AdBux after the notification is posted establishes your agreement with the Terms of Service. If at any point you do not agree with the Terms of Service, you must delete your membership. Who Can Use AdBux US citizens and International users are allowed (International users please see list below of countries NOT accepted). All members must be at least 18 years of age. AdBux does not discriminate based on race, nationality, disability, or religion. Specialized campaigns, programs and opportunities may periodically be offered to members residing in pre-selected nations or regions. User Account Policy You may only have one account. Do not attempt to create more than one account or your account(s) will be terminated. If you have forgotten your user information, you can use the “forgot password” form to request it. You may refer other people in your household but only ONE member per I.P. Address. You can refer an unlimited amount of people to join the program but you will only earn referral points from those that you DIRECTLY refer. You must have a valid e-mail address to register with our program. All e-mail addresses are verified and the system will not let you join without validation of your e-mail address. Any accounts that are determined to be inactive for a period longer than 10 days will have their current balance reset to 0. Inactivity is defined as not participating in any incentive for a period of 10 days. Report any suspected theft of your account and make sure to use a password that is entirely unique to AdBux. Point(s) Redemption Points are redeemed as long as they’ve met the pre-determined payment threshold set within their profile. The current point redemption method is AlertPay (only). Each user is responsible for verifying that all address and payment information is correct. If an AlertPay payment is unable to be successfully delivered, the member will be notified and given the option to correct the information. The payment will then be processed on the next payout cycle. Payouts are not, under any circumstances, considered owed to you until you reach the minimum redemption level. All accounts requesting point redemption are subject to audit review. AdBux Point Redemption Gateway AdBux Point Redemption Gateway is open for Redemption Requests when Point Value has reached the minimum. In addition, AdBux' Point Redemption Gateway is closed during AdBux Member Account Review audits. Payment requests are reviewed and audited in the order in which they are submitted. Redemption of points (in ALL cases) may be delayed for up to 30 working days, as per AdBux Audit Member Account Review procedures. AdBux (at its own discretion) may elect to send any AdBux user a corporate Point Redemption check in lieu of remitting payment via Alert Pay. It is the users responsibility to ensure that their contact information such as; name, address, city, state and/or country and/or zip or postal code are up to date. Returned Point Redemption checks will NOT be reissued (and or resent) until AdBux Security confirms the identity of such user (applicable only to AdBux users who are mailed a Point Remeption check and such check is returned). Members’ Relationship to AdBux Nothing is expressed or implied that creates any type of employment relationship between the general members or advertisers and AdBux. Members are not partners, employees, or sales representatives for AdBux. Members have no legal authority to conduct business, solicit offers, or otherwise represent themselves as a partner or employee of AdBux. Remember, it's a privilege to be a Member of AdBux - not a right. AdBux members who purchase and/or purchased lifetime memberships agree that a lifetime membership shall be deemed void in the event that AdBux.org (the site) is no longer in operation for any reason whatsoever or the site has transferred ownership. AdBux Products and Services Statement It is the responsibility of each individual to thoroughly research and evaluate any potential purchase of products and/or services offered on AdBux. This includes, but is not limited to; purchases such as: Premium Memberships, Referral Packages, Advertising, or any other products and services that AdBux may offer now or in the future. You accept full responsibility and liability for any and all purchases made, and any subsequent risk or loss associated with your purchase. All purchases on AdBux are to be considered final and will be non-refundable. AdBux staff will be available to assist with any questions or problems relating to any AdBux product or service and may be contacted at any time. AdBux makes absolutely no guarantee, expressed or implied, in reference to your point(s) earning potential resulting from any upgrades, products, or services of any kind purchased from AdBux. None of the products or services offered on AdBux is to be considered securities, stocks, bonds or investment products of any kind. The completion of any purchase constitutes your complete agreement with the AdBux Products and Services Statement. Advertisers may, from time to time, increase and/or decrease the number of ads and/or offers they display. In addition, advertisers may decrease the value of the offer/advertisement they display. In the event, an advertiser decreases the value associated with their offer/advertisement, AdBux reserves the right to adjust the point value without notice. Adjustments may be retroactive. Termination of Account We have the right to suspend or terminate a member account at any time, for any reason and without warning or notice. The reasons include, but are not limited to: fraud, non-payment for ads and referral packages, system abuse, hacking, hate speech, slander, or any other actions found unsuitable by AdBux. Account termination notification is issued via e-mail. If a member is found to be promoting, offering or using any unauthorized third party software or services used to “auto-click”, “auto-surf”, “ad-alert”, or circumvent or defraud the AdBux system in any way, such account will be terminated immediately. Legal action may also be initiated. If you submit a purchase for referrals and/or advertising and do NOT process payment, your account will suspended and/or terminated. Payment for purchases must be processed within 24 hours (no exceptions). NEW Accounts, which remain inactive and/or do not complete at least one offer (whether a FREE or Trial Offer), within a 7 day period are subject to deletion. Deletion of member accounts due to any of these violations results in forfeiture of all account balances. Information Rights Policy AdBux may, in compliance with its privacy policy, transfer and disclose to third parties basic registration information you submit to facilitate your acceptance into the program. AdBux may provide non-personally-identifiable registration data you provide, including URLs, member statistics, interest selections, and similar information submitted to AdBux, with advertisers, business associates, and other third parties. AdBux Non-Commitment and Limited Liability Statement AdBux will not be held liable (by AdBux users or by third party provider sites such as those which operate publisher/advertiser sites, which in turn, offer paid for surveys or banners and/or pay per click programs) for failed business opportunities, lost monies, or any other indirect, special, punitive, incidental or consequential damages arising from or related to AdBux or this user agreement. All provisions of this section survive termination or expiration of the Terms of Service. AdBux makes no warranties, expressed or implied, with respect to member accounts or products or services advertised on AdBux. Third party links are viewed at the users own risk. AdBux does not express nor guarantee any commitment (monetary or otherwise) toward any members, past or present. At any time, at the discretion of AdBux, with or without notice, AdBux may become unavailable to any or all members. If such termination or access to the AdBux site occurs, AdBux will remain without commitment (monetary or otherwise) to members, past or present. Additionally, there is no representation that the operation of AdBux will be without errors or downtime, and we are not liable for consequences of interruptions or errors in the sites performance. Upline/Downline Contact You agree to receive e-mails from your sponsor through use of the messaging program within the members’ area. This same rule applies to your referrals, who cannot accuse you of Spam or unsolicited mail. AdBux does NOT accept users from the countries listed below and will NOT process point redemption requests for those residing in the listed countries (below). Afghanistan, Algeria, Angola, Argentina, Bangladesh, Benin, Botswana, Brazil, Burkina Faso, Burundi, Cameroon, Cape Verde, Central African Republic, Chad, China, Congo, Cuba Djibouti, Dominican Republic, Egypt, Equatorial Guinea, Eritrea, Ethiopia, Gabon, Gambia, Ghana, Guinea, Guinea-Bissau, India, Indonesia, Iran, Islamic Republic of Iraq, Cote d'Ivoire, Kenya, Korea, Democratic People's Republic of Lesotho, Liberia, Libyan Arab Jamahiriya, Madagascar, Malawi, Malaysia, Mali, Mauritania, Mauritius, Morocco, Mozambique, Namibia, Nepal, Niger, Nigeria, Pakistan, Peru, Philippines, Puerto Rico, Reunion, Rwanda, Sao Tome and Principe, Senegal, Seychelles, Sierra Leone, Somalia, Sri Lanka, Sudan, Swaziland, Tanzania, United Republic of Togo, United States, Tunisia, Turkey, VietNam, Uganda, Uruguay, Congo, The Democratic Republic of the Zambia, Zimbabwe Spam Policy Sending unsolicited email to people, asking them to join AdBux without any prior contact with you is against our policy. We have ZERO tolerance for spamming and if we receive just ONE SINGLE complaint against you for spamming, we first verify that the Spam incident did occur and then we delete your account. Spamming is a violation of the law, and you may be prosecuted for verified Spam incidents. Furthermore, using the AdBux messaging program to send unsolicited mail or e-mail that is not considered AdBux related, will result in the termination of your account. Newsletters You agree to receive a weekly and/or daily email from AdBux as part of your membership. This mailing will consist of daily and/or weekly news and updates, as well as third party advertisements. You agree that you have opted-in to receive emails from AdBux and its advertisers. In addition, AdBux may share your email address and associated with in-house and/or outside third party advertisers. Advertising Policy All advertisements must be inspected and approved by AdBux staff. Prohibited advertisements include sites that contain: malicious script or code, viruses, discriminatory or hate-based websites, illegal drugs or pharmaceuticals, or anything found to be illegal in any form. Advertising that is approved should remain unchanged during the course of the active ad campaign. Ads may be disapproved at the discretion of AdBux staff at anytime. Indemnity You will indemnify and hold harmless AdBux, its parent companies, affiliates, customers, vendors, officers and employees from any liability, damage or cost (including reasonable attorneys fees and cost) from any claim or demand made by any third party due to or arising out of your access to the Site, use of its Services, or violation of the Terms of Services by you. AdBux may disclose personally identifiable information if required to do so by law. Miscellaneous Provisions These terms are subject to the laws of the United States. Legal actions relating to the Terms of Service or any services, features, products of AdBux must be brought through binding arbitration within the State of Florida and you irrevocably consent to the jurisdiction of said venue. This agreement will be binding on, and enforceable against the parties and their respective successors and assigns. Past failure to enforce any provisions of the Terms of Service does not waive our right to enforce any such provisions at any time. This Terms of Service agreement is a valid legal agreement between the registering party (user) and AdBux. By registering your account you agree that you are bound to all stipulations found in this agreement and that you have read and understood all terms and conditions listed. You assume all risks and liability arising from your activities conducted on AdBux.
